1. Purpose and acceptance
1.1 These Terms of Use govern access to and use of the Rx Property website, application, portal and related online services at app.rxproperty.com.au and any related Rx Property online platform (Platform).
1.2 By logging in, creating an account, accessing the Platform, or continuing to use the Platform, you agree to these Terms of Use, the Rx Property Privacy Policy, and any role-specific terms that apply to your access.
1.3 If you access the Platform on behalf of a company, trust, partnership, firm or other entity, you confirm that you are authorised to bind that entity.
2. Relationship with other documents
2.1 These Terms of Use are general platform terms. They do not appoint Rx Property as a real estate agent, buyers agent, tenants representative, leasing agent, selling agent or property manager.
2.2 Any agency appointment, client engagement, mandate, conjunction, referral, commission arrangement or professional services engagement must be contained in a separate written agreement that complies with applicable law.
2.3 If there is any inconsistency, the more specific document applies in this order: a signed agency agreement or client engagement, a signed mandate or conjunction agreement, role-specific portal terms, then these Terms of Use.
2.4 The Platform may record that a property, opportunity, counterparty, document, shortlist, inspection, submission or communication has been disclosed, viewed, submitted, introduced or discussed through the Platform.
2.5 Those records may be used as evidence of what was disclosed, viewed, submitted, introduced or discussed, including where a user later enters into a written agency agreement, mandate agreement, conjunction agreement, buyer agency agreement, tenant representation agreement or other engagement with Rx Property.
2.6 Clauses 2.4 and 2.5 do not create an agency appointment, authority to act, commission entitlement or regulated agency agreement by themselves. Any fee entitlement must arise under a separate written agreement that satisfies the law of the Australian state or territory in which the relevant property is located.
3. Account security
3.1 Access is personal to the named user. You must not share credentials, allow another person to use your account, or access the Platform using another person's account.
3.2 You must keep your login credentials secure and notify Rx Property promptly if you become aware of, or suspect, unauthorised access.
4. Permitted use
4.1 You may use the Platform only for lawful business purposes and only for the purpose for which Rx Property has granted access.
4.2 You must not use the Platform in any way that is unlawful, misleading, deceptive, fraudulent, harmful, defamatory, infringing, malicious, disruptive, or inconsistent with the purpose for which access was granted.
5. No copying, scraping or misuse
5.1 You must not copy, reproduce, modify, scrape, crawl, extract, download in bulk, reverse engineer, adapt, publish, distribute, transmit, sell, license, commercialise or otherwise exploit any part of the Platform or its content except as expressly permitted by Rx Property in writing.
5.2 You must not use any bot, script, crawler, scraper, automation tool, data mining tool or similar technology to access, monitor, copy or extract Platform content without prior written approval from Rx Property.
6. Cybersecurity
6.1 You must not attempt to gain unauthorised access to the Platform, any user account, server, database, network or connected system.
6.2 You must not introduce malware, viruses, scripts, bots or other harmful code, or interfere with the security, integrity, performance or availability of the Platform.
7. Intellectual property
7.1 All intellectual property rights in the Platform, including software, design, layout, user interface, workflows, data structure, reports, templates, branding, trade marks, content and documentation, are owned by or licensed to Rx Property.
7.2 No rights are granted to you except the limited, revocable right to access and use the Platform for the purpose authorised by Rx Property.
8. No advice and no reliance
8.1 Content made available through the Platform is provided for business use in connection with the relevant engagement. It does not constitute legal, financial, taxation, planning, valuation, investment, building, town planning, medical, operational or other professional advice.
8.2 You must obtain your own independent advice before relying on Platform content or making any decision.
9. Third-party information
9.1 The Platform may contain information provided by vendors, lessors, landlords, agents, clients, consultants, advisers or other third parties.
9.2 Rx Property does not warrant that third-party information is complete, accurate, current or suitable for your intended use.
10. Privacy and monitoring
10.1 Rx Property collects, uses, stores and discloses personal information in accordance with its Privacy Policy.
10.2 Rx Property may monitor and log Platform use, including sign-ins, page views, document views, downloads, submissions, acceptance events, timestamps, IP addresses, device information and browser information, for security, audit, compliance, dispute resolution and enforcement purposes.
11. Suspension and termination
11.1 Rx Property may suspend, restrict or terminate access to the Platform at any time, with or without notice, including where Rx Property suspects misuse, unauthorised access, breach of these Terms of Use, breach of any portal terms, security risk, legal risk or operational issue.
12. Availability
12.1 Rx Property does not warrant that the Platform will be uninterrupted, error-free, secure or available at all times.
12.2 Rx Property may update, modify, suspend or discontinue any part of the Platform at any time.
13. Limitation of liability
13.1 To the maximum extent permitted by law, Rx Property is not liable for any indirect, special, consequential or economic loss, loss of profit, loss of opportunity, loss of data, business interruption or loss of goodwill arising out of or in connection with your use of the Platform.
13.2 Where any guarantee, warranty or condition cannot be excluded by law, Rx Property's liability is limited to the maximum extent permitted by law.
14. Version control and changes
14.1 Rx Property may update these Terms of Use from time to time. If Rx Property makes a material change, Rx Property may require re-acceptance before further Platform access is granted.
14.2 Rx Property may retain records of the version accepted by each user, together with the acceptance date, timestamp, account details and technical logs.
15. Governing law
15.1 These Terms of Use are governed by the laws of New South Wales, Australia.
15.2 Where a dispute or obligation relates to a specific property, the laws of the Australian state or territory in which that property is located may also apply.
